1. Who we are and what these Terms cover

These Terms are a contract between you and Upturn Consultancy LLC, a company licensed in the Sharjah Media City (Shams) Free Zone, Sharjah, UAE ("Syndie", "we", "us").

They cover syndie.io, beta.syndie.io, country sites such as syndie.com.br, the Syndie app, Syd, the public API, and all integrations (together, the "Service").

You accept these Terms when you tick the box at sign-up, accept an invitation to a workspace, or use the Service. If you accept for a company, you confirm you can bind it, and "you" means that company.

Our Privacy Policy and Refund Policy are part of these Terms.

Partner brands. The Service may also be offered under a partner's brand and web address. Partners use a white-labelled version of these Terms. If you signed up through a partner, that version governs between you and the partner.

2. Key terms

  • Workspace: the shared space that holds your seats, prospect lists, contacts, campaigns, plan, credits, and team. You can belong to several workspaces. Each one is separate.
  • Owner, Admin, Member: the roles in a workspace. Each workspace has one Owner. Only the Owner can pay, change the plan, cancel, transfer ownership, or delete the workspace.
  • Seat: one LinkedIn account plus one mailbox. Seats are what let campaigns send.
  • Credits: units that pay for certain actions, such as finding an email address or phone number, Syd's answers in chat, and Syd's replies to prospects.
  • Syd: the AI assistant in Syndie. It builds lists and campaigns, writes messages, answers questions in chat, and on the Growth plan answers prospects' replies.
  • Connected Accounts: LinkedIn accounts, Gmail or Outlook mailboxes and their calendars, CRMs, and other tools you connect.
  • Customer Data: everything you, or Syd for you, put into the Service. This includes knowledge bases, prospect lists, contacts, messages, replies, meetings, and notes.
  • Output: messages, replies, lists, summaries, and other content Syd generates for you.

3. Who can use Syndie

Syndie is for business use only. You must be at least 18 and use the Service for your business or profession. It is not for personal or household use.

You can't use Syndie if you are located in, or are a resident of, a country under comprehensive sanctions, or if you appear on a UN, UAE, US (OFAC), EU, or UK sanctions list.

4. Your account and workspace

  • Give us accurate information and verify your email address. You sign in with a password, Google, or both.
  • Keep your login, API keys, and connected-app credentials secure. Never share passwords or one-time codes, including with our support team.
  • You are responsible for everything done in your workspace. That includes actions by your team, by Syd, and by any API key, n8n connection, or other tool you authorise.
  • Owners and Admins control who joins the workspace, their roles, and which seats each Member can use.
  • Tell us at support@syndie.io within 72 hours if you think someone got unauthorised access.
  • Support access. To help you, our support team may sign in to your account with full or view-only access. Every session is listed in Settings › Your profile › Support access, with its date and length.
  • To change your sign-in email or delete your account, contact support. If you own a workspace, transfer or delete it first.

5. What Syd does, and who is in control

  • Chat. Syd can build lists, campaigns, and knowledge bases, change settings, and answer questions about your workspace. It acts only within your role's permissions. It can't change billing, delete campaigns or workspaces, or manage API keys.
  • Approvals. Anything that reaches a person or can't be undone waits for a person on your team to approve it: launching a campaign, sending from the Unibox, booking or cancelling a meeting, deleting a list. Syd can't approve its own requests.
  • Replies to prospects (Growth plan). You choose a reply mode: Off, Drafts (you approve each reply), or Automatic. Automatic unlocks only after your team has reviewed enough drafts, and it falls back to Drafts if a reply is rejected for wrong facts.
  • Built-in limits. Syd answers only from the knowledge base you attach. It won't quote prices, offer discounts or refunds, suggest meeting times, or send links on its own. It hands the conversation to you for legal or data-protection requests, sensitive topics, and anything it can't answer.
  • Writing your messages. You set guidelines, and the AI writes invites, messages, emails, and public comments for each person.
  • Every message Syd sends goes out from your Connected Accounts, under your name or your client's name. You are the sender.

6. AI output

  • Output comes from AI models run by Syndie and by third-party providers. It can be wrong, incomplete, or similar to output other customers get. Syd can make mistakes, so check anything important.
  • You are responsible for your knowledge base, your guidelines and rules, the reply mode you choose, and what is sent from your Connected Accounts.
  • AI disclosure. Syd writes as you. It does not say it is an AI, and it does not claim to be a person. If a prospect asks, Syd hands the conversation to you. Some laws require telling people when they are talking to an AI. Where they apply to your outreach, you must meet them.
  • We don't use your Customer Data to train AI models. How our AI providers may use it is described in our Privacy Policy.

7. LinkedIn, email, and other third-party platforms

  • Syndie works with platforms we don't own or control: LinkedIn, Google (Gmail, Calendar, Meet), and Microsoft (Outlook, Teams). Their own terms govern your use of them.
  • LinkedIn does not allow third-party automation. Using Syndie with a LinkedIn account can lead LinkedIn to warn, pause, limit, restrict, or permanently ban that account. We set daily and weekly sending limits to reduce this risk, and you can't raise or switch them off. We can't prevent restrictions. You accept this risk. We are not liable for any restriction, lost account, lost connections, or lost data on any third-party platform.
  • Shared limits. If you connect the same LinkedIn account or mailbox in more than one workspace, its limits are shared across all of them.
  • Lead search. Native Prospect Search is Syndie's prospect search. It draws on publicly available professional profile information. Other list types run on your own LinkedIn account. Results depend on LinkedIn and may change or stop without notice. We don't guarantee lead volume, accuracy, or availability.
  • Public comments. The Comment on Post step posts publicly under the sender's name. Public comments can't be taken back through Syndie.
  • Email. Deliverability depends on your domain, your mailbox provider, and recipient servers. New mailboxes send less while they warm up. We don't guarantee inbox placement, opens, replies, or meetings.
  • Calendars. Connecting a calendar adds a separate Syndie calendar to that mailbox's account. Booked meetings and invitations are sent from it.
  • Syndie is not affiliated with, endorsed by, or sponsored by LinkedIn, Google, Microsoft, HubSpot, HighLevel, or any other provider.
  • If a platform changes its API or terms, or blocks access, we may change or remove affected features. That is not a breach of these Terms.

8. Integrations and API

  • Integrations. You can connect HubSpot, GoHighLevel, n8n, Apollo (with your own key), Clay, and webhooks. Zapier, Make, Slack, and ZoomInfo are coming soon. When you connect one, you authorise us to send Customer Data to it and receive data from it. The provider's own terms and privacy policy apply on its side.
  • Your own provider keys. If you add your own key (for example Apollo), lookups may use your credits with that provider. You are responsible for your agreement with them.
  • Webhooks. Webhook calls are not signed. Use an address that is hard to guess and keep it private. You are responsible for the systems that receive them.
  • Public API. It may not be open for every workspace. Keep keys secret and follow our docs and rate limits. A key acts with the access of the Owner or Admin who created it. We may throttle or revoke a key that harms the Service.
  • Outside assistants. Our MCP server lets AI assistants such as Claude use Syndie's actions in your workspace, and the Assistants page lets you allow other outside tools. Both act as you, within your role. Anything they want to send or change waits for approval in the Review queue.

9. Agencies and client workspaces

  • An agency may run a separate workspace for each client, and connect one GoHighLevel sub-account per client.
  • The agency is our customer for the workspaces it owns. It is responsible for: its clients following these Terms; having its own contract with each client; having authority to connect each client's LinkedIn, email, and CRM accounts; first-line support; and paying all fees.
  • We may suspend one client workspace that breaks these Terms without suspending the agency's other workspaces.
  • An agency's clients have no direct contract with Syndie unless we agree in writing.

10. Early access and beta features

  • Syndie v4 launches in early access. Features marked early access, beta, or coming soon are provided as is. They may change, break, or be removed, and no uptime commitment applies to them.
  • If you send us feedback, we can use it freely, without paying or crediting you.

11. Acceptable use

You must not use Syndie to:

  1. Send spam, or contact people with no plausible business reason to hear from you.
  2. Market to consumers where the law requires their prior consent.
  3. Keep contacting someone who asked you to stop. Syndie blocks addresses that unsubscribe, bounce, or report spam, and Syd stops when someone asks it to. You must also honour opt-outs you receive anywhere else, using the Blacklist.
  4. Make false or misleading claims, impersonate a person or company, or hide who you are.
  5. Target people by sensitive traits (health, religion, ethnicity, sexual orientation, political views) or collect that data.
  6. Contact anyone under 18.
  7. Promote illegal goods or services, gambling, adult content, weapons, or pyramid or MLM schemes.
  8. Harass, threaten, or discriminate against anyone, including in public comments.
  9. Send attachments that contain malware or content you have no right to share.
  10. Resell or sublicense the Service, except as an agency under section 9.
  11. Export, sell, or share prospect data found through Native Prospect Search or enrichment as a standalone list or database.
  12. Scrape, copy, or reverse-engineer the Service, build a competing product, get around sending limits, API limits, or safety controls, or test our security without written permission.

You must follow every law that applies to your outreach. Depending on who you contact, that can include the UAE PDPL, EU and UK GDPR and PECR, US CAN-SPAM and TCPA (for phone numbers), Canada's CASL, Brazil's LGPD, and India's DPDP Act.

If we reasonably believe you broke this section, we may pause campaigns, disconnect accounts, or suspend your workspace. We'll tell you first where practical.

12. Your data

  • You own your Customer Data.
  • You let us host, copy, process, send, and display it only to run, secure, support, and improve the Service, as the Privacy Policy describes.
  • You confirm you have the rights and a lawful basis for all Customer Data, including prospect data you upload, import, or enrich, and for the outreach you run.
  • For personal data in Customer Data, you are the controller and we are your processor. Native Prospect Search is the exception described in the Privacy Policy.
  • We may create aggregated, de-identified data (for example, average reply rates by industry). It won't identify you or anyone else, and we may use it for any purpose.
  • Export and deletion. You can export contacts as CSV at any time. Deleting a campaign removes its contacts and history. Deleting a workspace removes all its campaigns, contacts, and history and cannot be undone. When a subscription ends, every LinkedIn account and mailbox is disconnected, but the rest of your workspace data stays until you delete it or we delete it under the Privacy Policy.

13. Our property

  • We own the Service: Syd, the software, the design, and the Syndie name and logos.
  • While you're subscribed, you get a limited, non-exclusive, non-transferable right to use the Service for your own business. Agencies may also use it for their clients.
  • As between you and us, you own the Output generated for you and can use it for any lawful purpose. Other customers may get similar Output.

14. Confidentiality

Each of us will keep the other's non-public information confidential, use it only for this agreement, and protect it with reasonable care. This doesn't cover information that is public, already known, independently developed, or that the law requires us to disclose.

15. Plans, seats, credits, and payment

  • Plans and seats. You buy seats on the Starter or Growth plan, priced per seat per month. All seats in a workspace are on the same plan. Your plan, seat count, billing period (monthly, quarterly, or yearly), and price are shown at checkout. The price per seat may drop at higher seat counts.
  • Team size. Starter workspaces hold up to 15 people. Growth has no limit. A workspace without a plan holds up to 5 people and can't connect accounts or send.
  • Taxes. Prices exclude taxes. You pay any VAT, GST, or similar tax that applies, including UAE VAT where it applies.
  • Payment. Payments are processed by Stripe. We don't store full card numbers. Only the workspace Owner can pay or change billing.
  • Renewal. Subscriptions renew automatically for the same period unless the Owner cancels before the renewal date.
  • Changes mid-period. Upgrading to Growth or adding seats is charged for the rest of the current period. Removed seats keep working until the period ends, then stop. Moving to a longer billing period starts it today and credits the unused part of the old one. Moving to Starter or to a shorter period is arranged with support.
  • Credits. Each seat adds plan credits every month (500 on Starter, 1,000 on Growth). Plan credits refresh at each renewal, don't carry over, and end when the subscription ends. Bought credits are a one-off purchase, never expire, and stay after cancellation. A new workspace gets 50 free credits once. Credits have no cash value and can't be transferred between workspaces. Current prices are shown in Settings › Usage & credits.
  • Failed payments. If a payment fails, the Service keeps working while we retry. If it keeps failing, the subscription ends as if cancelled.
  • Price changes. We'll give at least 30 days' notice of a price change. It takes effect at your next renewal.
  • Custom billing. If your workspace is billed by an account manager under an order form, the order form's prices and terms apply where they differ from this section.
  • Refunds follow our Refund Policy.

16. Ending the agreement

  • Cancelling. The Owner can cancel at any time. Cancellation takes effect at the end of the current period, and campaigns keep sending until then.
  • When a subscription ends, campaigns stop, every LinkedIn account and mailbox is disconnected, and unused plan credits end.
  • Deleting a workspace cancels its subscription immediately and permanently deletes its data. It is not refunded.
  • Our right to end. We may suspend or end your access immediately for a serious breach, non-payment, risk to the Service or to others, or if the law or a platform provider requires it. In other cases we'll give 30 days' notice.
  • Sections that by their nature should survive (fees owed, data, property, disclaimers, liability, indemnity, law) continue after the agreement ends.

17. Disclaimers

The Service is provided "as is" and "as available". We don't promise any result: leads, replies, meetings, pipeline, or revenue. We don't promise the Service will be uninterrupted or error-free, or that any third-party platform will stay available. To the extent the law allows, we disclaim all implied warranties.

18. Limits on liability

  • Neither of us is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data.
  • Our total liability for all claims in any 12-month period is capped at the fees you paid us in the 12 months before the claim.
  • We are not liable for: actions LinkedIn or any other platform takes against your accounts; messages you approved or let Syd send automatically; or Customer Data you supplied.
  • Nothing here limits liability that the law does not allow to be limited, such as liability for fraud.

19. Indemnities

  • You will defend us against third-party claims arising from your Customer Data, your outreach and messages, your breach of these Terms or the law, and, for agencies, claims by your clients. You'll pay any resulting damages and reasonable costs.
  • We will defend you against third-party claims that the Service itself (not third-party components or Customer Data) infringes their intellectual property, and pay any resulting damages. We may instead change the Service so it no longer infringes, or end it and refund prepaid unused fees.

20. Governing law and disputes

  • These Terms are governed by the laws of the UAE as applied in the Emirate of Sharjah.
  • If a dispute comes up, email support@syndie.io first. We'll both try in good faith to settle it within 30 days.
  • If that fails, the courts of the Emirate of Sharjah have exclusive jurisdiction.
  • Either of us may ask any competent court for urgent injunctive relief.

21. Changes to these Terms

We'll give at least 30 days' notice of material changes by email or in the app. If you keep using Syndie after they take effect, you accept them. If you don't agree, cancel before then.

22. General

  • These Terms, with the documents in section 1, are the whole agreement between us on this subject.
  • You can't transfer these Terms without our written consent. We may transfer them to an affiliate or to a buyer of the Syndie business, brand, or assets.
  • Neither of us is liable for delays caused by events outside reasonable control, including outages or policy changes at third-party platforms.
  • If a court finds part of these Terms unenforceable, the rest still applies. Not enforcing a right is not a waiver of it.
  • These Terms are written in English. If a translation conflicts, the English version wins.
  • You must follow all export control and sanctions laws that apply to your use.
